Confidentiality
1. Remuneration: You shall always keep the details of your salary and employment benefits at the Company strictly confidential and shall not disclose such details to any other person within the Company or anywhere else.
2. Use of Company's Name: You shall use the Company's name, logo, trademark or any identifier strictly in the manner permitted by the Company or by its Code of Conduct, for the purpose to rendition of services delegated to you to the extend required. Further, upon termination of your employment, you shall not use Company's name, logo, trademark, other identifier except for the sole purpose of describing your former association with the Company at any point of time.
3. Information: You shall always maintain the highest degree of confidentiality with respect to the records, documents and other Confidential Information relation to the business of the Company which may be known to you or confided in you by the Company, its representatives, authorized personnel by any means and you will use such records, documents and information only in a duly authorized manner, in the interest of the Company as well as maintain dignity and respect to other colleague. (For the purpose of this clause, Confidential Information means information about the Company's business and that of its Customers, Contractors, Sub- Contractors, Business Partners or Agents, which is not available to the general public, and which may be learnt by you in the course of employment.)
4. At any point of time, you will not remove any Confidential Information from the Company's offices without the permission of your reporting manager save and except for the purpose of performing the duties assigned to you in your capacity as an employee of the Company.
5. You acknowledge and agree that disclosure of any portion of the Confidential Information or any breach of the provisions herein may result in irreparable injury and damage to the Company which might not be adequately compensable in monetary terms, that the Company may have no adequate remedy at law therefore, and that the Company may, in addition to all other remedies available to it at law or in equity, obtain such preliminary, temporary or permanent mandatory or restraining injunctions, orders or decrees as may be necessary to protect the Company, and that you agree to reimburse the reasonable legal fees and other costs incurred by the Company in enforcing this Agreement.
6. The Company will be within its rights to (I) advertise for public knowledge or (ii) notify to your prospective employer or regulatory body, any propriety or breach of confidentiality obligations hereunder, at its absolute discretion.
7. You are duty bound to safeguard and not to disclose, share or publish Confidential Information. Further it is also your duty to not make any false declaration, assertion or imputation, including but not limited to comments on the Management or the personnel of or the work undertaken at the Company. The before described duties shall survive the expiration or termination of this Agreement and/or your employment.
8. You will not write, publish, review or post anything negative about your work and the Company directly or indirectly, on social media platforms, while your employment and after your expiry or termination of your employment with the Company or any of its division you are posted with. Engaging or posting any kind of negative reviews directly or indirectly about the company or its affiliates, products/services, brands, customers, partners, employees, management may lead to arbitration or civil suit, or criminal proceeding as deemed fit by the Company. Any such act may also lead to defamation claim by the Company and you will be liable to pay a minimum amount of Rs 1,00,000 (Rupees One Lakh Only) or as per the losses incurred by the Company or its affiliates, products/services, brands, customers, partners, employees, management due to your post/views on social media platform. The decision of the Company in this regard shall be final. Such act may also have an impact on the final dues and settlement and the Company may inform the same to your next employer, that may affect your future
9. You agree that in case of any damage or harm to the reputation of the Company due to breach of the duties aforementioned shall attract legal/ internal actions against you and that you shall be liable to pay to the Company damages to the tune of INR 1,00,000 (Rupees One Lakh Only)
